Terms of Service
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", "Customer") and Media Access, a company registered in Norway ("we", "us", "our"). They govern your access to and use of the AdTool web application (the "Portal"), the website at adtool.no, and all related features, APIs and services (together, the "Service"). By creating an account, clicking to accept these Terms, or otherwise using the Service, you confirm that you have read, understood and accepted these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
In short:AdTool is a web service that connects to your Google Ads account, runs automated AI audits, and proposes optimizations. Nothing is changed in your Google Ads account unless you explicitly approve it. You pay a monthly subscription, you can cancel anytime, and we don't guarantee specific advertising results. We may use data about how the Service performs — the issues our AI detects, the changes that are made, and the results that follow — in aggregated and de-identified form for internal research and to improve the Service (see section 10).
1. Definitions
- "Portal" means the AdTool web application where you sign in, link accounts, review audits and approve changes.
- "Google Ads Account" means a Google Ads account you connect to AdTool.
- "Proposal" means a recommendation generated by AdTool (for example a negative keyword, bid or budget change, asset suggestion, or structural change).
- "Audit" means an automated analysis run AdTool performs on a connected Google Ads Account.
- "Service Data" means data generated through operation of the Service, including the issues, errors and opportunities AdTool detects, the Proposals it produces, the changes that are applied, and the performance results that follow.
2. The Service
AdTool is a software-as-a-service application that connects to your Google Ads Account through the official Google Ads API. It analyzes the account, runs scheduled and on-demand audits, and produces Proposals (new keywords, negative keywords, bid changes, budget shifts, asset and ad-copy improvements, structural adjustments and similar). On the day each week that you choose, AdTool runs an audit and emails you the new Proposals together with a secure, time-limited link to review and approve them. Changes are applied to your Google Ads Account only when you explicitly approve theminside the Portal or via the secure review link. Some Proposals are "insight-only" or require manual implementation and are clearly marked as such.
3. Account eligibility and registration
- You must be at least 18 years old and using AdTool for business purposes.
- You must provide accurate registration information and keep it up to date.
- You must have the authority to connect each Google Ads Account you link to AdTool, and you must comply with all applicable laws and the Google Ads policies.
4. Account security and your responsibilities
You are responsible for maintaining the confidentiality of your AdTool credentials and for all activity that occurs under your account. We strongly recommend enabling two-factor authentication (2FA), which AdTool supports. You must notify us promptly at security@adtool.no if you suspect any unauthorized access. You are responsible for reviewing every Proposal before approving it and for the consequences of changes you approve.
5. Connecting your Google Ads account
To use AdTool you authorize a connection between your Google Ads Account and AdTool's Google Ads manager account (MCC) by approving a manager-account link request in Google Ads. This allows AdTool to read your account data and, only upon your approval, apply the specific changes you accept. You may end this connection at any time by removing the link from within Google Ads, as described in our Privacy Policy. Removing the link disables AdTool's ability to audit or change that account.
6. Acceptable use
When using AdTool you agree not to:
- Use the Service for any illegal purpose or in violation of the Google Ads policies or the Google Terms of Service.
- Attempt to reverse engineer, decompile, scrape or extract the source code or underlying models of AdTool, except where permitted by mandatory local law.
- Resell, sublicense or grant third parties access to AdTool except as expressly allowed in writing by Media Access.
- Use the Service to promote spam, deceptive content, malware, or products prohibited by the Google Ads policies.
- Circumvent usage limits, rate limits, access controls or feature gates, or share access credentials for restricted or test features.
- Interfere with or disrupt the integrity, security or performance of the Service.
7. Subscriptions, fees and payment
Access to AdTool requires a paid subscription. Pricing is disclosed in the Portal at the point of purchase and is handled by our payment processor, Stripe. The base plan is billed monthly in advance and includes a set number of campaigns; additional campaigns beyond the included amount are billed at the per-campaign rate shown at checkout. Subscriptions renew automatically each billing period until cancelled. Norwegian VAT (MVA) or other applicable taxes are added where required by law. You authorize us (through Stripe) to charge your payment method for all fees due. If a payment fails, we may suspend the Service until billing is brought current.
8. Trials, introductory offers and refunds
We may offer free trials or introductory/promotional pricing (for example a discounted first month for a limited number of new customers). The terms, eligibility and duration of any such offer are described where the offer is presented, and promotional pricing reverts to the standard price afterwards unless stated otherwise. Paid subscription fees are non-refundable except where required by mandatory consumer-protection law. Where you qualify as a consumer in the EEA, you may have a statutory right of withdrawal; to the extent permitted by law, this right ends once you begin using a paid digital service during the withdrawal period.
9. Your data and Google data
Our processing of personal data and Google user data is described in the Privacy Policy, which is incorporated into these Terms by reference. You retain all rights to the data you provide and to the data AdTool accesses from your Google Ads Account on your behalf. You grant Media Access a limited, worldwide, royalty-free licence to host, process and transmit this data solely as needed to deliver, secure and support the Service, and — as set out in section 10 — to use Service Data in aggregated and de-identified form for internal research and improvement of the Service.
10. Research, error analysis and product improvement
You acknowledge and agree that Media Access may collect, retain and use Service Data — including (a) the issues, errors and opportunities that AdTool's automated and AI-driven analysis detects in connected Google Ads Accounts, (b) the Proposals generated and the changes that are applied (by you, or automatically where you have enabled that), and (c) the performance results and outcomes that follow from those changes — for our own internal research, evaluation, benchmarking, quality assurance, troubleshooting, debugging and improvement of the Service. We expressly reserve the right to retain and analyse this data for these purposes, including after a specific Proposal has been accepted or rejected.
Limits that keep this compliant. Where Service Data constitutes Google user data, we use it for these internal-research and operational purposes only in aggregated and/or de-identified form, consistent with the Google API Services User Data Policy and the Limited Use requirements described in our Privacy Policy. We do not use Google user data to develop, improve or train generalized or non-personalized AI or machine-learning models, and we do notuse it for advertising, retargeting or to identify the end users of your ads. Internal research is used to understand which kinds of issues recur, how effective different Proposals are, and how to make AdTool's audits and recommendations more accurate and useful.
11. Recommendations and applied changes
AdTool's Proposals are produced by software (including AI models) and provided for your consideration. You are solely responsible for reviewing and approving any change before it is applied to your Google Ads Account. Media Access does not guarantee any particular advertising outcome (such as a specific increase in conversions, decrease in cost, or improvement in return on ad spend). AI-generated analysis can contain mistakes, omissions or inaccuracies; you should not rely on a Proposal as professional advice and should apply your own judgement. Past performance is not a guarantee of future results, and advertising results depend on many factors outside our control, including your budget, offers, landing pages, market conditions and Google's own systems.
12. Automated audits and communications
By configuring an audit day you ask AdTool to run audits automatically and to email audit results and Proposal links to the address you designate. These are service (transactional) communications related to your use of the Service. You can change the recipient address and notification preferences in your settings. Marketing communications, if any, are sent only where permitted by law and you can opt out of them.
13. Third-party services
AdTool depends on third-party services, including the Google Ads API, cloud infrastructure, payment processing, email delivery and AI providers. Your use of those services may also be subject to their own terms. We are not responsible for failures, outages, errors, suspensions or changes in third-party services that are outside our reasonable control.
14. Intellectual property
AdTool, including all software, design, text, graphics, models and documentation, is owned by Media Access or its licensors and is protected by intellectual-property laws. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service. We own all aggregated, de-identified and statistical insights we derive from Service Data under section 10. All rights not expressly granted are reserved.
15. Feedback
If you send us suggestions, ideas or feedback about the Service, you grant Media Access a perpetual, irrevocable, royalty-free licence to use it for any purpose without obligation or compensation to you.
16. Beta, early-access and test features
From time to time we may offer features marked as "beta", "preview", "test" or "early access", and some such features may be gated behind an access password or invitation. These features are provided "as is", may be limited, may change, and may be modified or removed at any time without notice. They are not covered by any availability or support commitments.
17. Service availability
We aim to keep the Service available but do not promise that it will be uninterrupted or error-free. We may perform maintenance, updates and changes, and may modify or discontinue features. Unless a separate written service-level agreement applies, the Service is provided without any uptime guarantee.
18. Suspension and termination
We may suspend or terminate your access to AdTool if you breach these Terms, fail to pay, if your use poses a security or legal risk to us or other users, or if required by law. You may terminate at any time by cancelling your subscription; cancellation takes effect at the end of the current billing period. On termination, the licence granted to you ends and AdTool stops auditing and managing your accounts. Sections that by their nature should survive termination (including ownership, the research and product-improvement rights in section 10 with respect to aggregated and de-identified data, disclaimers, liability limits, indemnification and dispute resolution) will survive.
19. Disclaimer of warranties
To the maximum extent permitted by law, AdTool is provided "as is" and "as available" without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, or that Proposals will be accurate or effective.
20. Limitation of liability
To the maximum extent permitted by law, Media Access will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, advertising spend, goodwill or business opportunities, arising out of or related to the Service, including any Proposal you approve or any change applied to your Google Ads Account. Our total aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid to Media Access in the 12 months preceding the event giving rise to the liability, or (b) NOK 5,000. Nothing in these Terms limits liability that cannot be limited under mandatory law (including liability for gross negligence, intent or personal injury caused by us).
21. Indemnification
You agree to defend, indemnify and hold harmless Media Access from and against any third-party claim arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) the content of the advertisements managed by you using AdTool, or (c) your violation of the rights of any third party.
22. Changes to the Terms
We may change these Terms from time to time. Material changes will be notified by email or in the Portal at least 30 days before they take effect, unless a change must take effect sooner for legal or security reasons. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
23. Governing law and venue
These Terms are governed by the laws of Norway, without regard to its conflict-of-laws rules. Any dispute will be resolved by the ordinary Norwegian courts, with Oslo District Court (Oslo tingrett) as the agreed legal venue. If you are a consumer resident in the EEA, the mandatory consumer-protection laws of your country of residence still apply.
24. General
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and any order form or written agreement signed by both parties, constitute the entire agreement between you and Media Access regarding the Service and supersede all prior or contemporaneous agreements on the subject.
